What is an assignment.

In Real Estate, an assignment of an Agreement of Purchase and Sale (APS) occurs when the original purchaser (Assignor) from the Builder agrees to allow a new purchaser (Assignee) to take over the contract with the Builder. The original purchaser does not have to take possession or title to the property. The new Buyer takes over and completes the property purchase with the Builder.

Why do people Assign?  

  • Speculation (flip) for profit. 
  • Life changes ( relocation, marriage, divorce, children, bankruptcy, death) 
  • Government regulations (new mortgage rules, interest rates, qualification standards)

Benefits of an Assignment 

To the Seller (Assignor) 

  • Avoids Builder closing costs, Tarion fees and Land transfer taxes.
  • Seller may not have to pay GST/HST rebate back to Builder (Consult a tax professional with regards to potential GST/HST on increased unit value). Individuals who do not intend to occupy the unit on closing are required to pay this rebate back to Builder. Investors who plan to rent the unit out for at least one year can claim the HST back from the Government but would still have to come up with this significant amount on closing with Builder.  
  • The Seller (Assignor) avoids carrying costs such as maintenance fees, property taxes, mortgage associated with the unit after final closing while property is up for sale.
  • Faster return of deposit (ROI). Most assignments require that all of the Assignor's initial deposit to Builder be returned at the time Builder executes assignment. This frees up Assignor's deposit for other investments and avoiding the long wait until final closing. 

To the Buyer (Assignee)

  • A great way for Assignee to purchase a brand new unit within a few months of completion thus avoiding the the risk of project being cancelled (lost equity) and long wait time of typical Pre-Construction. 
  • Buyer (Assignee) receives a price discount over current properties on the market. This is a great way to build equity in the unit as prices typically goes up once the Building is registered and Condos are offered on the resale market.
  • Buyer will receive a brand new home with Tarion warranty and depending on stage of construction, the ability to make finish selections.
  • Buyer may sometimes take advantage of the deposits made by the Assignor and may be able to put a lower deposit (especially if unit is in occupancy and close to final closing).

Risks Associated with an Assignment

For the Buyer (Assignee) when you purchase an assignment you take on all the terms and conditions of the original Agreement of Purchase and Sale contract. So if the original Buyer did not get their Lawyer to review the agreement to make sure things such as levies were capped then those risks are passed on to you. Assignee can protect himself by making sure the Assignment agreement has a clause that makes offer conditional on your Lawyer reviewing the original APS.

Assignee is also responsible for all the costs associated with purchasing brand new: Tarion Warranty fees, Builder fees, Development Levies, Utility connection fees and contribution to Condo Board reserve fund.

For the Seller (Assignor) risks include responsibility for any assignment fees charge by the Builder. In the event that Assignee (Buyer) can't close the transaction then Builder may request that Assignor closes as per the terms of the original APS.

Builder will also stop communicating with Assignor and deal exclusively with Assignee once they have agreed to and executed assignment agreement. This makes it difficult for Assignor to get important updates. It's therefore important that Assignor Lawyer keeps in touch with both the Builder and Assignee Lawyer.

Tax implications (GST/HST) if it is determined that the primary intent of Assignor was to flip for profit (speak with a tax professional).

What is a condo assignment.

Condo Assignment is a transaction for changing the right of ownership of a Pre-Construction Condo Unit. The subject right of ownership has been purchased from the Builder by the initial buyer. So literally this transaction would “Assign” the New Buyer as the Owner of the subject unit.

Who Is Assignor And Who Is Assignee In A Condo Assignment Transaction?

the Assignor is the one who has the right to “sell” the Agreement of Purchase and Sale and the Assignee is the one who is purchasing the Assignor’s interest in the Agreement of Purchase and Sale

How To Sell A Condo Assignment Unit?

If you are the lucky person who could successfully manage to purchase a pre-construction unit, you cannot just sell it any time after signing the contract with the Builder of the condo project. There are restrictions that apply as per Builder’s criteria before they let you sell the unit. Some Builder’s criteria could be:

Typically the Sold Out Unit Ratio (Number of Sold Units/ Total number of the Units) shall be around 50% -90% depending on the Builder and/or the project. Permission to assign by the Builder. Builders in nature would not like you to assign the unit to any other person. Some Builders would give you permission at the time of signing the initial contract as a motivational selling material and they may mention a fee for it if the assignment transaction happens later on. If you have not obtained that permission, we might be able to get it for you. Permission to advertise on the MLS system. Again, Builders do not like to see any units to be shown up on the MLS system. They would like to control the selling price of the remaining units in the building and possibly the other phases of the same complex.

How Is HST In Condo Assignment Deal?

By law. HST is applicable on all brand new properties. For simplifying the transaction, the Builders prefer to include the HST in the purchase price. In case you do not move in the subject Unit, you may need to pay HST to the government. Consulting with a lawyer is recommended.

An assignment is a sales transaction where the original buyer of a property (the “assignor”) allows another buyer (the “assignee”) to take over the buyer’s rights and obligations of the Agreement of Purchase and Sale, before the original buyer closes on the property (that is, where they take possession of the property). The assignee is the one who ultimately completes the deal with the seller.

What is a preconstruction assignment sale?

Unless otherwise prohibited or restricted in writing in the original agreement of purchase and sale, It is mostly legally permitted. In some cases, the developer may charge the assignor a fee for this kind of sale. The best thing to do is to contact the builder directly to confirm if you are allowed to assign your purchase contract because assignment restriction and fees vary from builder to builder.

Claire Danes and Hugh Dancy List Their West Village Townhouse for $9.75 Million

The couple want more space for a growing family, but their agent said they aren’t leaving New York City to get it.

Claire Danes and Hugh Dancy are moving on from their West Village townhouse, asking $9,750,000 for the home they have lived in for more than a decade.

The Hollywood power couple bought the four-bedroom, four-and-a-half-bathroom house on Downing Street in Manhattan in 2012, when Ms. Danes, a native New Yorker, was pregnant with their first son. In the years since, they have seen their careers and family grow. They welcomed a second son, and then a daughter. Ms. Danes, who spent nine years starring as Carrie Mathison in the popular television drama “Homeland,” moved on to the critically acclaimed role of Rachel Fleishman in the mini-series “Fleishman Is in Trouble,” created by Taffy Brodesser-Akner. Mr. Dancy, a British actor known for his roles in “Black Hawk Down” and the television adaptation of “David Copperfield,” went on to a much-lauded role in the TV series “Hannibal” and an Off Broadway run, opposite Stockard Channing, in the play “Apologia.”

The couple put significant effort into modernizing the interiors of the 1880s Greek Revival house. In an effort led by Joan Krevlin, a founding partner of BKSK Architects, the space was opened and brightened, particularly on the ground floor. Ms. Krevlin, who has long worked with Ms. Danes, rooted her work in the actress’s childhood memories.

“Claire grew up in lofts, and her heart was in loft living,” Ms. Krevlin said. “The home they were choosing to make was a townhouse, intentionally, but there were characteristics of a loft that were very important to her.”

Those characteristics included a feeling of flow between the living and eating spaces, as well as plenty of natural light, regardless of the time of day.
