As a Herbalife Nutrition distributor, you'll order health products at discounted prices and then resell them. Your income potential depends on how much you sell, but you can also earn bonuses from the sales made by our recruiters and the members they bring in. In 2020, the company had about 191,000 active distributors in the U.S. alone (via Herbalife Nutrition). Approximately 15,000 distributors managed to earn more than $201 per month in their first year of work. Only 1% earned over $5,900 per month, and 10% had a monthly revenue of $1,246 or higher. More experienced members had higher earnings, ranging from $264 to $16,213 per month.

Like Avon, Amway, Mary Kay , and other companies, Herbalife uses multi-level marketing (MLM) to promote and sell its products. But the corporation received criticism for being a pyramid scheme. The  Federal Trade Commission (FTC) warns that both business models carry significant risks that may outweigh any potential benefits.

The FTC explains that companies using pyramid schemes encourage their members to recruit others rather than promote and sell products. MLMs, on the other hand, generate revenue through direct sales. An MLM company may choose to reward its members or distributors for bringing in recruits, but the focus is on the product itself. However, both MLMs and pyramid schemes typically require an initial investment, so there's a risk of losing your money.

Should you become a Herbalife distributor?

As a result of the FTC settlement , Herbalife must ensure that at least 80% of its net sales are actual sales to legitimate buyers. Moreover, only one-third of the revenue paid to its distributors may come from recruitment. The FTC also prohibited Herbalife from allowing first-year members to pay out of pocket when leasing or purchasing commercial space to sell the company's products.

New distributors must purchase a starter kit ranging in price from $94.10 to $124.10 and then take the steps needed to sell the products (per Herbalife Nutrition). Most members start by selling to their friends and relatives, but no one can guarantee that you'll make a profit. If you decide to quit, you can return any unopened products for a full refund. Note that you may still lose the money spent on advertising, travel, web design, and product samples.

Consider the company's reputation, too. In 2020, Herbalife had to pay a fine of $123 million for bribing Chinese officials and government agencies, reports the U.S. Securities and Exchange Commission . What’s the truth?

As a person involved with MLM since the early 1990s, I’m not an Herbalife distributor. I have no skin in the game with the company.

With that said, there’s no problem with the Herbalife business model. The problem, in my humble opinion, is that most people are raised with employee mentalities.

They’re used to this: “I put in 15 hours, I expect to earn a certain amount of money on those hours.”

They join Herbalife, they don’t understand the level of hard work required to create retail profit in the company, and then say, “This thing must be a pyramid scheme .”

Why Do Many Herbalife Distributors Leave Each Year?

They leave because they aren’t making money.

Simple as that.

Would you keep trying to become one of the company’s sales leaders if you felt like you lost money after you failed at selling products?

The real question is: Why don’t more people become profitable in multi level marketing?

As a person who built an international direct sales organization and put himself into profit working with a wonderful team, I can tell you it’s not because MLM is a pyramid scheme or “illegal”.

Which leads us to the next question.

Is It True That Only People “At The Top” Profit In MLM?

Sorry to all those folks who sue MLM companies saying it’s all a pyramid scheme.

Let’s talk brass tacks.

Direct sales is a business system. If you’ve joined Herbalife, the company model lets you sell Herbalife products or recruit other salespeople .

If you’ve never owned your own company before and you’re expecting to make money without developing new skills, then yes, you’re likely to fail while seeing lost money go bye-bye.

To instigate an FTC investigation or get the Federal Trade Commission to force a company to compensate consumers in California federal court because “only the people at the top make money” means that too many distributors failed to understand the Herbalife business model.

There’s No Ceiling In Herbalife (Or MLM)

When I join a new company, the first thing I do is create an actual marketing plan.

I research my best-fit customers based on their needs, wants, desires, and pain points.

If I joined Herbalife, I’d select one area of the product line that interested me:

  • Weight management

For example, if I needed customers interested in weight loss, then I’d put together a “perfect avatar profile” (more on that below) to make sure my marketing copy attracted people with that problem.

That’s how I built an international downline.

I didn’t run around like most MLMers who act like motivated idiots, bugging friends and family, or posting dumb product pics on Facebook .

I worked my business as a true company owner. I put out advertising copy that attracted people with the problems my products solved.

I didn’t care who was “above me” in the downline structure.

In fact, I made more than many people in my upline because I knew what I was doing, while they ran around trying to get uninterested friends to buy something they didn’t want.

The next time you see some story online about how Herbalife is a pyramid scheme because “only people at the top” make money, you now know that the author doesn’t understand the entrepreneurial mentality.

There’s no ceiling. Work your Herbalife business like a boss-mode entrepreneur and you’ll become one of the sales leaders.

Why Do So Many Herbalife Ltd Distributors Blame Others?

I have a question of my own: Why do so many distributors blame other people for their failures in Herbalife, and other MLMs ?

I’ve read the personal stories of Herbalife distributors saying, for instance, they sued because they lost over $100,000 going to company events.

That’s blaming others for not seeing the signs that what you’re doing as a distributor ain’t working.

How much money do you need to see disappear before you say, “Hmmm, this isn’t working. I need to either get out of this company or I need to improve my sales and marketing skills.”

Herbalife didn’t force anyone to go to events. Indeed, many of the events (and lead up to the events) get people excited to attend. No doubt about it.

However, it’s not a “cult”, as you’ll see people try to place blame around.

I spent money early on in my direct sales endeavors that I wanted back. I didn’t blame others, though.

It was part of my education on what didn’t work.

You can bet that I made sure to improve my skills before wasting six figures, though!

You’ll never get anywhere if you blame a company or an entire business system. Ask Elon Musk or Warren Buffett how many people they blamed when their first entrepreneurial attempts lost money.

Most EVERY Business Fails

Let’s talk more brass tacks.

If you want to blame the Herbalife business model for your ability to create retail sales or get the recruiting rewards you want, do this:

Go research how many companies make it. Any company in any field or industry.

It looks like this:

Over 90% of businesses fail. About 50% fail within the first five years. 

70% of businesses looking to sell can’t do it because the business is too “owner-dependent”. Most of those hoping to sell just close down about a year later. 

Broken dreams and families exist behind all of these company failures. Financial devastation and health problems result. Guess what else results? Suicide.

These people don’t blame others by finding someone to sue.

Look, building a business damn hard. All of these businesses include a 90+% fail rate:

  • Offline brick & mortar (flower shops, auto mechanics, coffee shops, etc)
  • Affiliate marketing
  • Coaching and consulting
  • Network marketing

If you really, really, really, really, really want your own business, you don’t blame an industry and go find someone to sue because you didn’t become one of the winning Herbalife distributors on the first attempt.

You ask yourself, “What didn’t I do correctly? What skills am I weak in?”

You take responsibility and you go try again to win as an MLM distributor .

The average successful entrepreneur did this at least 7 to 10 times before breaking through. I wanted to quit so many times in my past, I lost count.

But, my desire to break through as a business owner always came back strong, I dusted myself off, and I went back to work improving.

If you’re a struggling Herbalife rep right now, I want to give you hope.

I want to inspire you to dust yourself off, ignore the naysayers ( they’ll always be there ), identify the skills you still need to acquire and go back to work!!!

Why Most Herbalife Distributors Fail

I touched on this above, but let’s now start looking to the solution to your Herbalife Nutrition problems.

Most people (in any type of company) fail because they never learn how to identify their best-fit prospects or how to effectively communicate with them .

You can’t expect Herbalife success if you continue to think “everyone needs our products” or “everyone is my prospect”.

That’s not true.

Stop wasting time talking to friends and family .

Start thinking like a true entrepreneur .

Like I said above, select only one area of the Herbalife product line to focus on.

If you enjoy talking about and helping people with weight loss, go for it.

If nutrition is more your thing, focus on that.

You can’t be “all things to all people” by trying to market products in niches so different as weight loss vs skincare vs fitness.

That’s the path to failure.

A customer avatar profile is a detailed description of your ideal customer.

Start by asking yourself some questions.

  • What are your “must-have” traits in a customer?
  • What do they want more than anything else?
  • What is the biggest problem that a person faces right now, and what does he or she need to solve it?
  • If you could wave a magic wand and solve this problem, what would your customer want to be able to do?

Once you start writing down answers, try describing the kind of life that person leads.

  • What’s important to them?
  • What are their hobbies or interests outside work?
  • Where does he or she live?
  • Who are they spending time with every day – friends and family, perhaps?

Now you’re getting closer to an accurate description of your ideal customer. 

Remember, this person is the one who will want what you have on offer. That’s why they are so important – and why it’s worth taking some time now to get clear about their needs before moving on to anything else.

We can develop a plan for success as long as we have our customer avatar profile defined.

Mark Reynolds Hughes , the founder of Herbalife, lost his mother at the age of just 18 in the 1970s. Mark Reynolds’s mother was a model, and she needs to maintain her weight.

However, at that time there were not decent diet plans to keep the weight moderate. People used to take only Pills to control weight, who’s benefits were less and the side effects were more.

Jo-Ann used to consume these pills, but due to overdoses she died which caused a deep shock to Mark, and then Mark started exploring new remedies to manage weight.

Meantime, Mark went to China and began his search there. With the use of Chinese herbs, Mark was able to supply all the essential elements to the body and those herbs would also help to remove extra body fat. Mark called these herbs “Formula 1 “.

1980: The Beginning

Herbalife company started with the first Chinese herb product “ Formula 1 “. The company’s first consumer was Mark’s grandmother herself, who reduced her 9KG weight with no side-effects within few months.

With this, Mark’s company Herbalife gained greater recognition and in the first month, Mark made $23,000 from the trade of Formula 1. At the age of 23, Mark achieved a turnover of 2 million US dollars from Herbalife.

Herbalife 1980-2018

Within the first few years of Herbalife, FDA (Food and Drug Administration) started accusing Herbalife for making false promises and claim about the products. Even today, Herbalife receives the same complaints.

In 1986, Herbalife went in public and got registered in NASDAQ Stock Market . In that meantime, Herbalife reached all the continents and multiplied their business.

But the founder Mark was not pleased with the way Herbalife treated in the stock market. So in the 90s, he tried to privatizing Herbalife back, but the company was getting a low valuation, which made Mark stressed and remain unsuccessful to do so.

He died in the year 2000 at the age of 44, because of excessive alcoholism and taking anti-depressant medicines.

Then in 2002, Herbalife again becomes private in partnership with an equity firm. In 2004, Herbalife comes back to the stock market, and this time NYSE (New York Stock Exchange) and still Herbalife is in NYSE.

But the biggest problem arises in 2014 when FTC (Federal Trade Commission) charged Herbalife (as Amway ). FTC accused Herbalife of running pyramid schemes and deceptive business practices.

The case ends in 2016 and Herbalife paid a $200 million fine. Later, the fine was used by the FTC to refund money to associates .

Recently in 2019, 2 employees of Herbalife (not Associate) are caught in China for doing corruption and influencing people by using media.

Herbalife admitted their mistake, and the company has been fined $123 million that is Rs 900 crore.

In past 38 years, Herbalife has changed completely. Company have associates in 90+ countries.

In 1998, Herbalife International India Private Limited registered under MCA in India. Its India head office is in Bengaluru, currently, Ajay Khanna and Mark David Story are the Indian directors.

Is Herbalife A Pyramid Scheme? A Simple Question Of Law

  • If Herbalife's product is being consumed, then it isn't a pyramid scheme.

If you're reading this article, you already know what the issue is, who the sides are, and what's at stake. This article addresses whether Herbalife's ( NYSE: HLF ) business is illegal in America by asking what the law says is the difference between a legitimate business and a pyramid scheme.

The Pledge: Bill Ackman's Argument and Sen. Markey's Letters

I'm sure you recall the famous letters that Senator Markey wrote to the FTC and others regarding Herbalife. If you read those letters as a lawyer would, you'll see that each is missing something crucial. American lawyers say, "First we find the facts, then we find the law, then we apply the law to the facts." (Continental Europeans do it backwards.) The first two pages of Markey's letters are about the "facts." Then, on the third page, there's one paragraph that talks about law. One paragraph. In a four-page letter. And that paragraph only says that pyramid schemes are illegal and multi-level marketing ("MLM") isn't. It doesn't tell us how we can distinguish one from the other. It doesn't tell us what the law is.

I spent a lot of time at large law firms writing letters for other people to sign. A lot of time. I recognize the writing style. (Even if I didn't, the letter uses the system of legal citation set forth in something called the Bluebook , and worse it uses the system properly . No one does that except for lawyers in a few major cities and judges whose assistants will be going to work for those firms.) Some law firm associate spent hours trying to find law that would help Ackman's argument. The answer s/he found wasn't helpful. Unable to say as much as they wanted, the lawyers said less. If they had found law that, when applied to Herbalife, said it was a pyramid scheme, that law would be discussed in the letter.

Markey's letters are nicely written, and to an untrained eye, they may seem substantial, but every lawyer who read them spotted the weakness in the case in a microsecond.

The Turn: In Which The Law of Pyramid Schemes Is Revealed

Before I go further, let me insert a pair of caveats. First, I'm only going to talk about American law. Recently, questions were raised about Chinese law , and China's a big part of Herbalife's business story. I don't know anything about Chinese law. Well, ok, that's not true. But I certainly don't know enough Chinese law to address this. Second, I'm not going to get into state law. Some states have specific "pyramid scheme" statutes. From looking at those laws, it seems that they're identical in effect to the general rule I discuss here. But if I wanted to spend weeks reading statute books, I'd be practicing law.

With that said, back to the meat.

You've surely seen complex analyses of Herbalife's compensation structure, "inside sales" vs. retail sales, whether the "emphasis" is on retail selling or sales to distributors, and so on. (If you hadn't seen them, you wouldn't have bothered reading this far.) All of that is beside the point.

The question is whether Herbalife is de fraud ing distributors by tricking them into buying Herbalife products, by falsely claiming that they'll be able to profit as Herbalife distributors.

"Pyramid scheme" is a label we use, for convenience, to describe a particular style of fraud scheme. Potential new distributors are told they can make a profit by investing in the scheme, because they can then sign up distributors of their own, who will sell some product for them. That's a lie, though. The truth is that the scheme will necessarily fail as it runs out of new recruits. The fraudster's real business is selling distributorships, not cosmetics, or detergent, or whatever.

Issues like price discrimination and the amount of "inside sales" and "downline" profits tend to be hallmarks of pyramid schemes, because if someone wanted to commit a pyramid scheme fraud, they'd design the compensation structure in a certain way. But those issues don't turn a legitimate enterprise into a pyramid scheme. The question is fraud . Over time, we came to realize that a lot of frauds were similar enough to each other that we gave them a name and looked for some defining characteristics to make our fraud-spotting job easier.

There is a legal test for whether something is a pyramid scheme. In Webster v. Omnitrition International , a federal appeals court considered whether the defendant's business violated the federal anti-fraud laws as a pyramid scheme. The Court observed (citations omitted, emphases added):

Pyramid schemes are said to be inherently fraudulent because they must eventually collapse. Like chain letters, pyramid schemes may make money for those at the top of the chain or pyramid, but "must end up disappointing those at the bottom who can find no recruits." The Federal Trade Commission has established a test for determining what constitutes a pyramid scheme. Such contrivances "are characterized by the payment by participants of money to the company in return for which they receive (1) the right to sell a product and (2) the right to receive in return for recruiting other participants into the program rewards which are unrelated to sale of the product to ultimate users ." The satisfaction of the second element of the Koscot test is the sine qua non of a pyramid scheme: "As is apparent, the presence of this second element, recruitment with rewards unrelated to product sales, is nothing more than an elaborate chain letter device in which individuals who pay a valuable consideration with the expectation of recouping it to some degree via recruitment are bound to be disappointed." We adopt the Koscot standard here and hold that the operation of a pyramid scheme constitutes fraud for purposes of several federal antifraud statutes.

Ok? The magic words here are "ultimate users." Not "retail sales," or "outside sales," or anything else. "Ultimate users."

"Inside sales" vs. retail sales, saturation, "inventory stuffing" -- it's all beside the point. Read through that opinion, and you'll see that these are just different ways of getting at the question of whether someone is lying to potential distributors by claiming to be in the retail business, when in fact, they're in the business of selling distributorships. (You can also look at the FTC's first decision on pyramid schemes in Koscot Interplanetary , beginning around page 24 of the pdf; or Amway , beginning on page 81 of the pdf, with the facts set forth around pages 43-50.)

In a simple chain letter scheme, people pay "up" for the ability to recruit others into the scheme. A pyramid scheme is different, because there's also a product. But if new recruits pay initiation fees and distributors are paid "headhunter fees," or new recruits have to make large purchases of inventory (that will go unsold) to join and distributors receive their commission on that sale, it's the same thing as a chain letter. The question is whether anyone is actually using the product, or the company is really in the business of selling distributorships. This is clear in the analysis in the Amway opinion.

The Prestige: In Which Doubt Disappears Along With The Formula 1

John Hempton unraveled this more than a year ago. Herbalife customers pay to become distributors, because then they get a 25% discount on the product and because using the product is a communal experience. How do we know that the distributors are consuming the product? That they didn't buy the product to make a business from selling it, and fail? Because Herbalife is selling 120,000 metric tons of product a year (that's 132,227 actual tons in America), and if nobody's consuming it, it's got to be sitting out there somewhere, and we'd notice it . We don't notice it. So it isn't sitting out there. So someone is consuming it. So Herbalife isn't a pyramid scheme.

It's that simple.

Oh, one last thing -- you'll notice also that Hempton quotes a purported legal test set forth in Bill Ackman's original Herbalife presentation, that a business is a pyramid scheme if participants are paid "primarily" for recruiting new participants. The magic word is "primarily," it's the reason for all those complex analyses, balancing one factor against another, etc. etc., trying to figure out if Herbalife is "primarily" about this or "primarily" about that. Well, that legal test isn't in the Markey letters, and it isn't the test I quote above. That's because Ackman wasn't quoting the law, he was quoting an economist's casual shorthand description of FTC policy on pyramid schemes.
