This template for an oil and gas assignment, bill of sale, and conveyance agreement is the most commonly used instrument in the oil and gas industry for transferring tangible and intangible personal property, such as contracts, leases, licenses, permits, or development rights, as part of a purchase and sale transaction. This template includes practical guidance, drafting notes, alternate clauses, and optional clauses. The assignment is the operative document that transfers the rights and delegates the duties between the assignor and the assignee. It also provides notice to others that the affected interests have been transferred. The parties should negotiate their respective rights and obligations and memorialize the same in the assignment. To do that, you must thoroughly understand your client's interests so you can protect them through the assignment. The local laws governing transfer of real and personal property interests must also be considered. What Is a Bill of Sale?

A bill of sale is a document that details in writing a sale of goods or transfer of property from one party to another. A bill of sale serves as legal evidence that full consideration has been provided in a transaction and that the seller has transferred the rights to the assets detailed in the bill of sale to the buyer.

How a Bill of Sale Works

A bill of sale can be quite complex or quite simple—depending on the type of transaction. A typical retail purchase receipt can be considered a bill of sale, as it details the specific goods that have been sold to the buyer and the specific price that was agreed to and paid for each. For example, the holder of a futures contract is generally given a  delivery instrument , which acts as a bill of sale, in that it can be exchanged for the  underlying asset  when the futures contract expires.

When conducting transactions for assets worth substantial sums of money, such as an automobile , it is important to make sure the bill of sale is completed properly and obtained at the time of sale.

A bill of sale generally takes the form of the following:

  • An absolute bill of sale does not represent any form of security, but rather, are simply documents evidencing assignments, transfers and other assurances of personal chattels, which are substantially no more than mere contracts of sale of goods covered by the common law of contract and the sale of goods law.
  • A conditional bill of sale represents any assignment or transfer of personal chattels to a person by way of security for the payment of money. The conditional bill of sale creates a security in favor of the grantee of the bill whereby the grantee is given personal right of seizure giving right to a security interest of a possessory nature.

A Brief History of Bills of Sale

The term “bill of sale” originally referred to any writing by which an absolute disposition of personal property for value was effected or evidenced. Because a bill of sale is technically independent of any legislation under U.S. common law , they were prone to deceit and fraud before advancements in contract law and digital record keeping systems.

Today, the bill of sale is a commonly written instrument showing the voluntary transfer of a right or interest or title to personal property, either by way of security or absolutely, from one person to another without the actual physical possession of the property leaving the owner and being delivered to the other party.

Acceptable Proofs of Ownership for Vehicles

Cars, trucks, and motorcycles, model year 1973 or newer.

The acceptable proof of ownership is either

  • the  original  New York State Certificate of Title – must be the original (We will not accept certified copies. If the original title was lost or stolen, or if you have satisfied a lien on the title you must  order a replacement title . )
  • if the state does not provide a title document because there is a lien on the vehicle, an electronic title printout from the DMV is acceptable

To transfer ownership

  • the transfer section must be notarized if the proof of ownership is a Certificate of Title from Alaska, Arizona, Hawaii, Kentucky Louisiana, Mississippi, Montana, Nevada, North Carolina, Ohio, Oklahoma, Pennsylvania, Washington, Wyoming, or Puerto Rico
  • if the vehicle was a gift, the seller must sign Section 6 on Page 2 of a  Statement of Transaction- Sale or Gift of Motor Vehicle, Trailer, All-Terrain Vehicle (ATV), Vessel (Boat), or Snowmobile (PDF)  (DTF-802) 
  • before the seller can transfer ownership they must  apply for a title certificate only  and transfer the new title certificate

Additionally

  • if the vehicle was manufactured in or after the 2011 model year and is 20 model years old or newer, the seller must complete the  Odometer Disclosure Statement  on the back of the title certificate
  • the  Damage Disclosure Statement  on the back of the New York State Certificate of  Title must be completed for all vehicles regardless of the vehicle's age
  • make sure that the information listed on the title certificate is not altered, erased or changed (If any information is altered, erased or changed, the current owner must get a duplicate title certificate and use the duplicate to transfer the ownership to you.)

Model Year 1972 or Older

  • a NY State Transferable Registration – must be the original or a certified copy,  not a photocopy  
  • acceptable proof from another state (Different states issue different documents for ownership and transfer of older vehicles. Make sure that is the acceptable proof of ownership in the state that issued the document.)
  • the owner can use the transferable registration and a bill of sale
  • make sure the registration document is marked "transferable" on the front
  • the seller whose name appears on the transferable registration must sign the back

Model year 1995 and newer  the acceptable proof of ownership can be

  • a Certificate of Title
  • acceptable proof of ownership from any other state (Different states issue different documents for ownership. Make sure that an out-of-state document is acceptable proof in the DMV in the state that issued the document.)
  • the Manufacturer's Certificate of Origin (MCO)
  • the Manufacturer's Statement of Origin (MSO)

If you purchase a new manufactured home from a dealer, the proof of ownership can be either

  • the Manufacturer's Statement of Origin (MSO), transferred by the dealer to the purchaser
  • Vehicle Bill of Sale (PDF)  (MV-912)
  • an  Application for Title Only (PDF)  (MV-82TON) with the “Manufactured Home Dealer Certification” section completed
  • the seller whose name appears on the proof of ownership must sign the transfer section and provide a bill of sale
  • the seller must  apply for a title certificate only  and transfer the new title certificate
  • the buyer's name must be on the title certificate
  • make sure that the information listed on the title certificate is not altered, erased or changed (If any information is altered, erased or changed, the current owner must get a duplicate title certificate and use the duplicate to transfer the ownership.)

Motorized Boats

Model year 1987 or newer, and at least 14 ft. long.

  • the New York State Certificate of Title – must be the original or a certified copy,  not a photocopy
  • acceptable proof of ownership from another state
  • make sure that the information listed on the title certificate is not altered, erased or changed  

Model Year 1986 or Older or Any New York State-Registered Boat Less Than 14 ft. Long

  • the New York State Transferable Registration - must be the original or a certified copy,  not a photocopy
  • the owner can use the transferable registration and a  Vehicle Bill of Sale (PDF) (MV-912)

Model Year 1973 or Newer With an Unladen Weight of 1,000 lbs. or More

  • the New York State Certificate of Title – must be the original or a certified copy,  not a photocopy 
  • the seller whose name appears on the proof of ownership must sign the transfer section and provide a  Vehicle Bill of Sale (PDF) (MV-912)
  • your name must appear on the title certificate as the buyer
  • make sure that the information listed on the title certificate is not altered, erased, or changed  

Model Year 1972 or Older, or ANY Model Year Trailer With an Unladen Weight of 999 lbs. or Less

  • the NY State Transferable Registration - must be the original or a certified copy,  not a photocopy
  • the owner can use the transferable registration and a bill of sale 

All-Terrain Vehicles (ATVs)

For a  new ATV , the acceptable proof of ownership is either 

For a  used ATV  where the prior registration was  not in New York State , acceptable proof is either

  • the  Vehicle Bill of Sale (PDF) (MV-912)

For a used ATV where the prior registration was in New York State, acceptable proof is either

  • a NY State transferable registration - must be the original or a certified copy,  not a photocopy
  • the owner can use the transferable registration
  • the seller whose name appears on the registration must sign the back and provide a bill of sale

Purchased from a registered dealer

You must get a dealer's bill of sale. An acceptable bill of sale includes all of this information

  • the name, mailing address, and registration number of the dealer
  • your name and your mailing address
  • the vehicle identification number of the ATV
  • the year and make of the ATV
  • the model name and the number of wheels on the ATV
  • the information that indicates if the ATV is new or used
  • the information that proves that the dealer collected the correct amount of NY State sales tax

If the ATV was never registered or the proofs of ownership are not available, complete an  Affidavit (Statement) of Ownership (PDF)  (MV-51B), and get a bill of sale from the current owner.

Snowmobiles

Purchased from a dealer.

The acceptable proof of ownership can be 

  • the Manufacturer's Certificate of Origin
  • the Manufacturer's Statement of Origin
  • the registration of the previous owner that is signed and transferred to the dealer
  • a dealer's  Vehicle Bill of Sale (PDF) (MV-912) on company letterhead

Previously Registered in New York and Purchased From an Individual

The acceptable proof of ownership is a snowmobile  Vehicle Bill of Sale (PDF) (MV-912) and a New York State registration. The person whose name appears on the proof of ownership must sign the transfer section.

An acceptable snowmobile bill of sale includes all of this information

  • buyer and seller names and mailing addresses
  • the year and make of the snowmobile
  • the model name, model number, color, and CC/HP of the snowmobile
  • the snowmobile identification number
  • the purchase price
  • the signature of the seller  

Never Registered and Purchased from an Individual

The acceptable proof of ownership can be

  • the Manufacturer's Certificate of Origin or Manufacturer's Statement of Origin
  • the dealer's bill of sale given to the original owner
  • the sales tax receipts from all other transfers
  • a snowmobile  Vehicle Bill of Sale (PDF) (MV-912) (as described above)

Vehicles Purchased From Dealers

A DMV-licensed automobile dealer must have acceptable proof of ownership for a vehicle before they can sell that vehicle to you. Most New York State automobile dealers send the application for a vehicle registration and title certificate to the DMV. The dealer can charge a fee of $175 for this service.

The proof of ownership for a  new vehicle  is either

  • the Manufacturer's Statement of Origin (MSO) and form MV-50 (Retail Certificate of Sale)

The proof of ownership for a  used vehicle  is both

  • the title certificate that the previous owner signed to transfer the ownership to the dealer
  • "Retail Certificate of Sale" (MV-50) that the dealer signs to transfer ownership to you (out-of-state dealers use a different bill of sale form)

Vehicles Purchased or Received as a Gift From Another Person

If you buy a vehicle, a boat, an ATV, or a snowmobile from another person who is not a DMV-licensed automobile dealer or receive it as a gift, make sure that you receive acceptable proof of ownership. 

Proof of ownership normally includes a bill of sale. The DMV does not provide a form for a bill of sale. The seller and the buyer complete the bill of sale. If the vehicle is transferred as a gift, indicate this on the bill of sale and indicate that the purchase price is $0. You must also complete a  Statement of Transaction- Sale or Gift of Motor Vehicle, Trailer, All-Terrain Vehicle (ATV), Vessel (Boat), or Snowmobile (PDF)  (DTF-802) and indicate on the form that the vehicle is a gift.

An acceptable bill of sale includes all of this information

  • the year and make of the vehicle, boat or ATV
  • the vehicle identification number (VIN) or the hull identification number (HIN)
  • the date of the sale
  • the purchase price of the vehicle or the boat
  • the names and signatures of the buyer and the seller

The buyer and seller can make photocopies of the bill of sale to keep for their records. The new owner must go to the DMV with the acceptable proof of ownership and a bill of sale. A bill of sale alone is not acceptable as proof of ownership without a title or transferable registration.

Vehicles in a Revocable Living Trust

The person who  creates  a trust is  the settlor . The owner of the vehicle and the settlor of the trust can be the same person. The person or the persons who  manage the property of the trust  are  the trustee(s) . The settlor can be a trustee, but the settlor cannot be the  only  trustee.

The document that creates the trust is  the trust document.

When a person transfers a vehicle to a  revocable  living  trust , the settlor becomes the new owner of the vehicle.

Transfer the Vehicle to the Settlor (the Trust)

The owner and the settlor must complete  Statement of Transaction- Sale or Gift of Motor Vehicle, Trailer, All-Terrain Vehicle (ATV), Vessel (Boat), or Snowmobile (PDF)  (DTF-802). If the owner and the settlor are the same person, complete Part II of form DTF-802 for a gift. Complete the donor section and the recipient section.

The person who is the owner of the vehicle must complete the seller sections on the back of the certificate. The owner must sign the title certificate as the seller.

The settlor must complete the odometer and damage disclosure statement on the back of the title certificate. The settlor must sign their full name in the buyer section of the title certificate and print the word "settlor" after their name.

The settlor must get new insurance identification cards from an insurance agent or insurance company. The insurance identification cards must identify the  trust  with the letters "TST" and identify the settlor with the letters "STL". For example:

"John Jones TST" "John Jones STL"

How the Settlor Applies for a Registration and a Title Certificate

The settlor cannot use the registration or vehicle plates of the previous owner. The settlor must apply for a new title certificate and a new vehicle registration. The DMV issues new registration documents, new vehicle plates and a new title certificate to the settlor. The previous owner must  transfer or surrender the previous vehicle plates .

To apply for the new registration and title certificate, the settlor must provide to a DMV office:

  • Statement of Transaction- Sale or Gift of Motor Vehicle, Trailer, All-Terrain Vehicle (ATV), Vessel (Boat), or Snowmobile (PDF)  (DTF-802)
  • the insurance identification card that identifies the  trust  and the settlor
  • Vehicle Registration/Title Application (PDF)  (MV-82) completed and signed by the settlor
  • describes the  trust  as a  revocable  living  trust
  • shows the name of the  trust
  • shows the names of the settlor, the names of the trustees and the Social Security Number (SSN) of the settlor (if an SSN of the settlor is not available, the settlor can show a New York State driver license with the ID number of the settlors driver license, permit or Non-Driver ID).

Zabaykalsky Krai is a federal subject of Russia located to the east and southeast of Lake Baikal, part of the Far Eastern Federal District. Chita is the capital city of the region.

The population of Zabaykalsky Krai is about 1,043,500 (2022), the area - 431,892 sq. km.

History of Zabaykalsky Krai

The first people inhabiting Transbaikalia, known both from archaeological finds and written sources (mainly Chinese), were the nomadic people of the Hunnu (209 BC - 93 AD), who created a large state in the Central Asian steppes. In the 6th-9th centuries, Turkic Uighurs lived in this region.

In 1206, Temujin was proclaimed the great khan of the Mongolian state and adopted a new name - Genghis Khan. The territory of the region became an integral part of the Mongol Empire. In the 14th century, the Mongolian Empire collapsed into separate states. Until the 17th century, the territory of the present Zabaykalsky krai was part of the Mongolian state of Northern Yuan.

From the middle of the 17th century, Transbaikalia became part of the Russian state. The first explorers crossed Dauria (the lands beyond Lake Baikal) along the rivers. The Buryats and Tungus, after a long resistance, recognized the new power and paid tribute to Russia. Several fortified towns were founded. Among the first colonists there were a lot of exiled old believers.

Since 1704, Nerchinsky, Shilkinsky, Gazimursky, and other silver smelters appeared. In the 18th century, the population of the region grew rapidly due to the influx of settlers and criminals, who worked in mines. Great role in the development of the region was played by the exiled members of the Decembrist uprising (brothers Bestuzhev, M.S.Lunin, N.M.Muravyov, C.G.Volkonsky, A.I.Yakubovich and others). From 1782, the region was a part of Nerchinskaya (Zabaykalskaya) Oblast of Irkutsk Governorate.

Since the 19th century, mining was the main industry of the region. In 1851, Zabaykalskaya Oblast was formed with the capital in Chita as part of Irkutsk Governorate. In the same year, with the goal of strengthening the border, the Trans-Baikal Cossack Army was created, numbering more than 3,500 people. At the end of the 19th century, the construction of the Trans-Siberian Railway forced the economic development of the region.

At the end of the 1920s - in the early 1930s, during collectivization, Cossack settlements were destroyed, the Buryat cattle-breeders were forced to have a settled way of life. In March 1934, Chita Oblast was formed, it became a part of Vostochno-Sibirsky Krai. On September 26, 1937, Vostochno-Sibirsky Krai was divided into Irkutsk and Chita oblasts. Within Chita Oblast there was Aginsky Buryat-Mongol national district formed.

During the Second World War, tens of thousands of local residents were drafted into the Soviet army. In connection with the threat of an attack by the Kwantung Army of Japan, the Transbaikal front was established here. In 1945, after the defeat of Nazi Germany, the Soviet Union began military operations against Japan.

Until 1949, about 77 thousand Japanese prisoners of war were engaged in work to restore the region. The local economy was completely restored by the 1950s. In 1969, there was an armed conflict on the Soviet-China border close to the frontier point of Nizhne-Mikhailovka on the Damansky Island.

In the 1990s, there was a sharp decline in industrial and agricultural production. On March 1, 2008, in the territory of Chita Oblast and the Aginsky Buryat Autonomous Okrug, a new federal subject of Russia was created - Zabaykalsky Krai.

Zabaykalsky Krai - Features

Zabaykalsky Krai is located in Eastern Siberia. The greatest length from north to south is about 1,000 km, from west to east - 850 km. The highest point on the territory of the region is the peak of BAM (3,073 meters). The relief is represented by both plains and mountains, but mountains are predominant in the region.

The south and south-eastern borders of Zabaykalsky Krai are the state border of the Russian Federation with Mongolia and the People’s Republic of China. The largest rivers are the Argun, Shilka, Onon, Ingoda, Khilok, Chikoy. The national composition according to the 2010 census: Russians (89.9%), Buryats (6.8%).

The climate is sharply continental. Winters are long and severe, the average temperature in January ranges from minus 20 degrees Celsius in the south to minus 37 degrees Celsius in the north. Summers are short and warm (sometimes hot), the average temperature in July - about plus 20 and 13 degrees Celsius respectively.

This region of Russia has large reserves of coals, iron ores, silver, copper, tungsten, tin, antimony, lithium, tantalum, niobium, zircon, germanium, and uranium. Forests occupy about 60% of the region. The main problem of the forest area is the annual destruction of thousands of hectares of forest by natural fires.

Mining remains the main industry of the region. Ferrous metallurgy is developed as well as machine-building, timber industry, light and food industries. Agriculture is specialized in cattle- and sheep-breeding. In the north of the region reindeer-breeding and fur trade are developed. The crops grown are wheat, barley and oats.

Tourism in Zabaykalsky Krai

The border position of Zabaykalsky Krai promotes the rapid development of cross-border tourism. It has become the main “tourist gateway” for tourists coming from the Asia-Pacific region. The territory of the Zabaykalsky region has a wide variety of natural landscapes, unique monuments of nature.

Sports tourism with elements of extreme has always been attractive for tourists: rafting (the Burkal, Menza, Onon rivers), rock climbing, horseback riding, and bicycle travel. For these purposes more than 100 sports and tourist routes have been developed.

Ethno-tourism is associated with the culture of small peoples, such as the Evenks. Tours on reindeer are held. Chita, Nerchinsk, Sretensk, Petrovsk-Zabaikalsky, and Shilka have the status of historical settlements. On the territory of Zabaykalsky Krai ancient settlements of the Huns were discovered. The events attracting guests include the Trans-Baikal International Film Festival, the tourist festival on Kodar.

The main sights of Zabaykalsky Krai:

  • Alkhanay National Park in Duldurginsky district - the only place in Russia where a harmonious system of cult Buddhist and natural monuments has been created;
  • Krasniy Chikoy, the center of Krasnochikoysky district, is one of the oldest and most beautiful villages in the region;
  • Mineral springs. The nearest mineral spring to Chita is Molokovka, a good place for taking pictures in nature;
  • Mount Pallasa, located near Chita, is a monument of nature of regional importance;
  • Zabaykalsky Alps - Kodar. In the north of the region there is an amazing country of contrasts and surprises - Charskaya depression with the surrounding mountain ranges. It is known for such monuments of nature as Kodar ridge with the highest point of Transbaikalia, Chara Sands - a miniature desert 10 km long;
  • Lake Arey - a hydrological monument of nature, one of the favorite places for recreation. The lake is located in a picturesque forest area near the highway Chita-Khilok;
  • Haatei Caves - two caves connected by a narrow passage. The first cave is called Ice, in winter, when water flows into the cave and freezes, you can see very beautiful patterns there. The second cave is considered a summer cave and is called Dry;
  • Butinskaya Estate in Nerchinsk - the main attraction of this historical town;
  • Old-Chita Mikhailo-Arkhangelsk Church (also known as Church of the Decembrists) is the oldest building in Chita where a museum dedicated to the Decembrists is located;
  • Museum of the Decembrists in the town of Petrovsk-Zabaikalsky;
  • Konduisky settlement - one of the monuments of Genghis Khan’s epoch.
